Company” means Vyapar Business Online Marketing Company and its platform vyaparbusiness.com, wherever the context so requires
Advertiser” means any person, company, or other legal entity that wishes to advertise and avail of the services provided by the Company, and whose name appears adjacent to the advertisement order
Advertisement” means any and all advertising material provided by the Advertiser to the Company for publication, display, or promotion in any medium made available by the Company
The rates mentioned in this Agreement are applicable only for the specific transaction covered herein
The Company reserves the right to revise or amend the advertising rates at any time without prior notice
Service Provider Representations
All advertising material supplied by the Advertiser to the Company must either be owned by the Advertiser or legally authorized for use by the Advertiser. The Advertisement must not be obscene, offensive, unlawful, or in violation of any applicable laws, rules, or regulations
The Company reserves the sole right, at all times, to reject any Advertisement. The Company does not guarantee any specific position, placement, or prominence of the Advertisement in the directory or on the website
While the Company will take reasonable precautions to publish the Advertisement as provided by the Advertiser, it shall not be held liable for any errors, omissions, or inaccuracies. The Company also reserves the right to make modifications to the Advertisement if deemed necessary or desirable
Unless otherwise agreed in writing between the Company and the Advertiser, all Advertisement materials (excluding the Advertiser’s trademarks and/or trade name) created by the Company shall remain the exclusive property of the Company. The Advertiser warrants that any artwork or design prepared by the Company for its publications shall not be reproduced, in whole or in part, without the Company’s prior written consent
In cases where an advertising agency places an Advertisement on behalf of a person, company, or entity (“Ultimate Customer”), the agency represents and warrants that it has the authority to modify and/or amend the Advertisement in line with the Advertiser’s instructions without committing any offence or tort. The Advertiser further agrees to indemnify and hold harmless the Company from any costs, damages, claims, or disputes brought by the Ultimate Customer against the Company arising from or in connection with the publication of such Advertisement
The Advertiser hereby represents and warrants that
a. The Advertiser confirms that they are the owner of the products and/or services they wish to advertise; and/or
b. The Advertiser is duly authorized by the owner to use the advertisement-related copy, illustrations, and any trademarks or trade names specified for use in the advertisement
The Advertiser agrees to notify the Company in writing of any change in ownership or authorization as described above, occurring after the execution of this invoice
The Advertiser further agrees to defend, indemnify, and hold the Company harmless from any infringement claims, losses, or judgments arising from or claimed to have arisen from the use of such copy, illustrations, marks, names, directories, advertisements, or related material, including third-party infringement claims, along with all associated expenses, attorney fees, and court costs incurred by the Company.
The Advertiser assumes sole responsibility and liability for the protection of its intellectual property rights in any writing, pictorial illustration, design format, photograph, or combination thereof included in the advertisement
Limitation of Liability
Under no circumstances shall the Company or its associates be liable for any direct, indirect, incidental, special, consequential, or exemplary damages (even if advised of the possibility of such damages) resulting from or in connection with the Advertiser’s use of any Vyapar Business Online Marketing Company services. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses
Such limitations shall also apply to damages incurred by reason of other services or products received through or advertised in connection with the Company, regardless of negligence
Without prejudice to the above, the Company’s liability under any circumstances is limited to the amount of fees paid by the Advertiser to the Company
Governing Law and Dispute Resolution
Any dispute between the Advertiser and the Company in connection with this invoice shall be adjudicated exclusively by the courts of competent jurisdiction in Noida, India
This invoice shall be governed and construed in accordance with the laws of India, without reference to conflict of laws principles
The Advertiser acknowledges that the User Agreement/Terms and Conditions (“T&Cs”) on vyaparbusiness.com are incorporated by reference and shall prevail in case of any conflict with this invoice
Correspondence: All communications to the Advertiser shall be sent to the address provided, and all communications to the Company shall be addressed to its registered office
Cancellation and Refund Policy
The Advertiser may request cancellation of advertisements in writing. However, the Company reserves the right to accept or decline such requests
Once subscribed, payments made for paid services are non-refundable. Vyapar Business Online Marketing Company makes no guarantees regarding the accuracy, timeliness, or authenticity of content posted by other users. All services are provided on a best-effort basis
Dispute Resolution and Arbitration
Any legal disputes shall be handled in Gautam Budh Nagar, Uttar Pradesh, under applicable laws
Disputes between parties shall first attempt amicable resolution. Failing that, disputes will be referred to arbitration under the Arbitration and Conciliation Act, 2018, with proceedings conducted in Gautam Budh Nagar
The arbitrator’s decision shall be final and binding
Suspension / Termination of Services
Vyapar Business Online Marketing Company reserves the right to partially suspend or fully terminate a User’s account (free or paid) without notice to protect the interests of other users or the Company
Termination or suspension may occur for reasons including, but not limited to
Breach of agreement provisions
Provision of false, inaccurate, incomplete, or outdated information
Actions causing financial loss or legal liability to other users or the Company
Misuse, fraudulent use, or involvement in illegal/prohibited activities
Posting unrelated content or spamming
Unauthorized access, use, or modification of the Company’s databases or networks
Infringement of intellectual property rights
Activities contrary to ethical and honest business practices
Upon termination, the User loses access to all services and may not re-register without written permission. Subscription fees will not be refunded unless explicitly permitted. The User acknowledges that any direct or indirect damages arising from termination are not the Company’s liability
